1. Acceptance of Terms
These Terms of Service constitute a binding agreement between you ("Customer") and Zoflow Tech for all consulting, implementation, and support services.
2. Services
We provide workflow design, monday.com configuration, integrations, automation, data migration, training, and project delivery. All scope, deliverables, and pricing are defined in Order Forms and Statements of Work. Customers are responsible for third-party platform licenses.
3. Customer Responsibilities
Customers must provide timely system access, data, and decision-maker availability. You grant Zoflow non-exclusive license to use supplied materials for service delivery. Prohibited uses include unlawful activity, IP infringement, and security violations.
4. Fees & Payments
All fees are stated in USD and are non-refundable once work begins. Payment is due within 7-15 days of invoice. Late payments accrue 1.5% monthly interest. Customers are responsible for all applicable taxes.
5. Changes & Cancellations
Scope modifications require written change orders. Customer-caused delays may shift timelines and increase costs. Cancellations require 7 days' written notice and payment for all work performed.
6. Intellectual Property
Customers retain ownership of their materials. Zoflow retains all pre-existing IP. Upon full payment, customers receive a perpetual, non-exclusive license for internal use of deliverables.
7. Confidentiality & Data Protection
Both parties maintain confidentiality of proprietary information. Personal data processing is governed by our Privacy Policy. Data Processing Addendum available for regulatory compliance (GDPR/CCPA).
8. Warranties & Liability
Services are provided with professional care consistent with industry standards. SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES. Zoflow's total liability is limited to fees paid in the 12 months prior to any claim. We are not liable for indirect or consequential damages.
9. Termination
Either party may terminate for material breach after 10 days' written notice. Payment is due through the termination date. Zoflow may suspend services for non-payment or legal/security concerns.
10. General Terms
Governed by Arkansas law with exclusive jurisdiction in Washington County courts. Services constitute an independent contractor relationship. Zoflow may use customer name/logo in marketing unless objected to in writing. Continued use after material changes constitutes acceptance of modified terms.
